Anyone involved in negotiating and managing contracts in a life sciences firm or university tech transfer office. In a small company this could be all or any of the founders. In a larger one it might be the: Managing Directors, CFOs or FDs, COOs, Company Secretaries, Contracts Officers as well as Office Managers.

A comprehensive understanding of fundamental concepts and issues is essential for those studying or working in this field. These basic contract law issues serve as the building blocks for contractual relationships. Topics like privity, consideration, warranties and indemnities, limits on liability, competition law, termination, assignment, subcontracting, change of control, and dispute resolution will be covered. 

For life science companies, a wide array of contract types caters to their unique needs. These contracts include assignments, confidentiality agreements, materials evaluation agreements, licenses in and out, R&D contracts, manufacturing and process development contracts, distribution and agency agreements, and terms of purhase and supply. Industry-specific contracts, such as website terms, software agreements, tissue banking contracts, and clinical trial agreements, are also vital in this sector.

At the end of this course, you will have a much better understanding of foundational contract principles, navigating the diverse range of contracts as well as addressing practical considerations essential for successful contract management and compliance in this specialised industry.
